Terms of Service

These terms govern the use of the Quay platform, operated by Quay Ops Ltd, a company registered in Scotland ("Quay", "we", "us"). By creating an account or using the platform, the customer ("you") agrees to these terms.

The service

Quay is a business-to-business order management platform for wholesale suppliers. It captures inbound customer orders from connected channels including telephone, SMS, WhatsApp and email, presents them for review and approval, and produces delivery run lists and invoice records.

Quay is provided for business use only. It is not intended for consumers.

Accounts

You must provide accurate account information and keep it up to date. You are responsible for the security of your account credentials and for activity carried out under your account. Notify us promptly at hello@joinquay.com if you believe your account has been compromised.

Your responsibilities

You are responsible for:

Quay assists with order capture and preparation. It does not replace your commercial judgement. Orders, deliveries and invoices remain your responsibility.

Automated processing

Quay uses automated processing, including speech-to-text transcription and language models, to extract structured order details from incoming messages and recordings. This processing can produce errors. All extracted orders are presented for human review, and you are responsible for checking them before approval.

Connected services

Quay connects to third-party services including telephony providers, messaging platforms and accounting software. Your use of those services is subject to their own terms. Quay is not responsible for the availability, performance or actions of third-party services, including changes they make to their platforms or policies.

Where you connect a WhatsApp Business number to Quay, you must comply with Meta's WhatsApp Business Messaging Policy and applicable Meta terms.

Acceptable use

You must not use Quay to send unsolicited marketing messages, to send unlawful, abusive or misleading content, to attempt to gain unauthorised access to the platform or another customer's data, to interfere with the operation of the platform, or to breach any applicable law.

Fees

Fees, billing frequency and any trial or pilot arrangements are as agreed in writing between you and Quay. Fees are exclusive of VAT unless stated otherwise. Charges levied by third-party providers for message delivery or telephony may be passed through where agreed.

Data protection

Our handling of personal data is described in our Privacy Policy at joinquay.com/privacy. Where Quay processes personal data on your behalf, that processing is governed by the data processing terms agreed between us.

Intellectual property

Quay retains all rights in the platform, its software and its documentation. You retain all rights in your own business data. You grant Quay the rights necessary to process that data in order to provide the service.

Availability

Quay aims to provide a reliable service but does not guarantee uninterrupted availability. Planned maintenance will be notified where practicable. Where the platform is unavailable, you remain able to receive calls and messages on your connected numbers as you would without Quay.

Liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, Quay is not liable for loss of profit, loss of business, loss of goodwill, or indirect or consequential loss. Quay's total liability in any twelve-month period is limited to the fees paid by you in that period.

Termination

Either party may terminate on written notice, subject to any minimum term agreed in writing. On termination we will make your data available for export for a reasonable period, after which it is deleted in line with our Privacy Policy and the process at joinquay.com/data-deletion.

We may suspend access where there is a material breach of these terms, a security risk, or non-payment, and will notify you when we do.

Changes

We may update these terms. Material changes will be notified to account holders. The date at the top of the page shows when they were last changed.

Governing law

These terms are governed by the law of Scotland, and the courts of Scotland have exclusive jurisdiction.
